In the background that the reform of global basic education pays attention to high-quality education, it is a logical option for educational innovators to appeal to the change of the rigidified and low-effective management in public educational system and the pursuit of an effective model of school running. As an emerging·model of school running, public school's privatization has broken the situation of public school's unification. It is a new exploration and practice in the recent system reform of school running. There is the demand of the public school's privatization, but there still are many problems in the practice of China. Meanwhile, the recent theories have not resolved the problems. And then there are two means of the future of the transformed schools in Shanghai. However, the problems have just been eluded and have not been solved directly. Then, the research has referred the successful practice in U.S. and has chosen Edison Schools Inc., the largest private group of public school's running, as the case study.There are many literatures on the public school's privatization. However, many of them have discussed the macroscopic systems, with some about microscopic practice and several about case studies. In terms of the U.S. public school's privatization, the macroscopic contents have discussed such as background, form, policy, actuality, and etc.; while the microscopic contents have focused on charter schools and little on other types. As for the reform of the transformed schools in China, the researches are mostly on the subject of the system, with main discussion of the relationships between the government and the schools; while they have less touched on the schools, especially the practice of school running. Therefore, on the basis of the case study of U.S. public school's privatization, the thesis mainly analyze the successful operation of Edison Schools Inc.; then after the compare of the public school's privatization in China and U.S., it make the relating study of the China's recent reform of the transformed schools and reveal the suggestion.The thesis was composed of preface, four parts of body, appendix, and etc.. In the preface, the writer has talked about the background , the concepts, the literatures, as well as the contents and means. In Part One, the writer has given a general review of theoretical basis, has analyzed the rationality of existence, and has explained the theoretical support of the interior management such as the theories of Economies of Scale, Transaction Cost and Economies of Scope. In Part Two, it is the discussion about the application of law; and the writer has chose some representative written law and has shown on two aspects of federal and states. In Part Four, it shows the operation of Edison Schools Inc.; after the study of the history and the achievement, the writer has discussed that the headquarter has succeeded in school running practice such as organizational structure, goal orientation, fund circulation, curricula and instruction, teachers' training, performance evaluation, as well as external public relationships. In Part Four, the writer has made suggestion such as group management, reasonable scale, the ambit of the property rights, and the external entertainment.
