Technological progress is the source of long-term economic growth. And FDI has become one of the most important channels of technical diffusion. A t first, this paper chooses two countries endogenetic growth model to analyze the relationship of human capital,FDI and economic growth. Then this paper empirical analyzes their relation-ship using the panel data regression analysis and cointegration method. We draw the following conclusions: 1. Human capital influence FDI style and FDI technology spillover effect; 2. The variety of the human capital level influence the different period's FDI technology spillover effect; 3. the human capital level of higher education could reflect foreign capital absorptive capability in this time; 4. the distribution of the human capital influence the FDI spillover effect. 5. There is no stable constant relationship between FDI and economic growth, while human capital dose have a constant relationship with economic growth. All in all, in order to promote FDI spillover effect and economic growth in China, this paper put forward several suggestions. Firstly, absorb the proper technical difference of FDI. Secondly, improve the labor diathesis and skill. And lastly, form the human capital distribution mainly with the scientists and skilled workers in the enterprises.
