Mergers & acquisitions about Hubei Yuyang project is a important step in the course of the Shaanxi Jinye's diversification strategy named "one principal work, more undertaking". After the project has been finished, the profit rapidly decline, production has fallen into mess, and management integration becomes difficult. The central aim far away the former. Shaanxi Jinye's development will be badly affected.The paper begins with the theory of mergers & acquisitions, one side analyze that primary motive of the project lies in the financial synergistic through the financial data. By listed faulty matter, shows that financial synergistic cannot successfully carry out the Shaanxi Jinye's strategy. The other side, shows the Shaanxi Jinye's advantage major in the printing field by SWOT analysis. From its management team and qualified personnel it cannot actualize the noncorrelation diversification. From this two side, we can make a conclusion that the mergers and acquisitions of Shaanxi Jinye is a defective project .The aim in studying the case is hope to give a warning message to the same line of the reader. The other side we hope to discover the brain game and how to avoid falling the trap when you will take on the work.In the chapter 5, a detailed integrated scheme through strategy and human resources and corporate culture was devised by the theory of management integration, which is the emphases of the paper, and the same it's our important intent.
