Western countries history that enterprise Merger&Acquisition (M&A) indicate enterprise M&A climax follow some economic prosperity of country appear at the same time always. Our country is in economic high-speed developing period, so can fully utilize this economy prosperity period, adjust economic structure through M&A, recombination etc., optimize resource distribution. So, studying the strategy that enterprises of our country M&A at this moment has certain realistic meanings. And, as China join WTO; some trades will face the strong competition of the foreign rival directly. Extensive M&A contributes to Chinese enterprise's strengthening the scale, realizing industrial substitution and upgrading, thus promote the industrial structure adjustment, optimization resource distribution of the whole society, improve the whole competitive power of China's economy. Instruct extensive M&A to need enterprises to make the development strategy from the macroscopic wholly.As to management of enterprises, the strategic plan is the course of confirming and weighing enterprise's advantage and inferior position. Course of M&A is it choose M&A those can increase advantage, remedy industry and enterprise of inferior position to aim at. The enterprise M&A most basic reason is to the pursuit of the economic benefits, under the pressure of the pressure of external competition and need of inside development, need under the pressure of enterprise's development strategy. Therefore, enterprises must carry on the analysis of investment while making M&A strategy. M&A cost has determined from a respect whether M&A could make a profit, and lucrative how much. M&A is it expect to could realize decision M&A investment decision correct or not value to make the investment, have determined to a certain extent too whether enterprise's development strategy could be realized smoothly. This text is devoted to discussing before making M&A plan, enterprises lived in management environment to analyze carefully to it, emphasize enterprise competitive strategy analysis importance to make M&A strategy, introduce how consider M&A cost and income in order to confirm M&A especially.
