During the period of making the transition of economy and society in China, Under the background that the law and morals are often trampled, congenial, the credit behavior, Degenerate Social transaction cost is more higher than the developed countries. The thesis analyses enterprise ethics problem through enterprise ethics Research and discussion it is adopted Combine Describing and Norm research , Sociology and Psychology Theory and practice . I will find Basic reason of puzzled degeneration , and have carried on deep discussion and investigation so as to find the method of overcoming the question .also I have offered the suggestion of solvingThe main conclusion is as follows1 Because of the information asymmetry and Chess match on this basis Question that play chess repeatedly ,if we will reduce or dispel the enterprise ethics problem, we should cut down Information blocks and distortion ,set up sound rewards and punishments mechanism, strengthen the opportunity cost of the behavior and also carry on the morals to enlighten by education Cause and promote people's deep thinking to the ethical question.2 During the period of making the transition , the laws and regulations of our country drop behind the development of society and politics, economy, culture ,and behavior of speculating is much higher .with code of ethic is legal The question will be reduced gradually , but it is impossible to disappear3 Bribes, intimidating, cheats, steal , discriminate against unfairly are the main ethics problem during the period that our country makes the transition. Against five kinds of questions, we should adopt and strengthen legislating and enforce the law , perfect the modern enterprise system, strengthen the execution strength of enterprise's system and increase the transparency method to carry out the result to reduce the question progressively4 Because The ethics culture of enterprise of our country is different from foreign countries ,The cultural difference of Chinese and Western ethics lies in The ethics culture of Chinese enterprise is established on the foundation of concerning of the blood relationship. It is public opinion rule of the morals .but Western enterprise's ethics culture is established on the basis of geo- relation .It is a trade rule of the goods and it can be turn into a kind of legal system5 It is a focal point studied that enterprise's ethics is built, The place where this research innovates lies in Proceed with economic people's market of the job ,and perfect entrepreneur's ethical personality construction and proceed with manpower resources management, perfect staff's ethical personality construction. At last, through the method, we will make the morals becomes the initiative choices of enterprises and staff's behavior ,and then solve enterprise's ethics problem.
