Corporation Merger & Acquisition (M&A) derived from nineteenth century inwest countries, which has a long history, and it is the permanent topic of capitalmarket. The thesis studies the mode and relative factors of strategic M&A, in orderto apply the theories of M&A to practice and help the enterprises to executestrategic M&A more successfully. And it also expects to help enterprises getsynergy through strategic M&A to win the advantage in competition. This thesis stands by the side of Chinese M&A corporations and studies thefactors, which have important influence on the result of strategic M&A, using themethod of theory analysis and case study. The thesis gives the introduction ofM&A theories, and separates the M&A into different styles according to thedifferent standards. It analyzes the goals and modes of strategic M&Asystematically, and studies the strategies of M&A to give a basic analysis tool forstrategic M&A. And it also offers three models i.e. value creation, cash flowdiscount and statistic analysis to help corporations assess the value of goalcorporations. At last chapter the thesis studies a strategic M&A case of Chinesecapital market, to analyzes the effect of strategic M&A on enterprises'development, and draw some useful conclusions of corporation strategic M&A.
