Research On Financial Governance Structure Of Listed Corporations

In resent years, because of the defect in Stimulation-Constrain System and supervision System within the company's power structure, lot's of companies' management team obey the rules. All these exert further influence on corporate governance and securities market. When we get to the bottom of the phenomenon which shocked people again and again, we find that, to a large extent, interior monitor failure and Stimulation invalidation attribute to the imperfection of companies' financial governance structure, which shows the significance of improving financial governance. It also makes comparisons and points out which part we can use for reference.Chapter 3 and Chapter 4 are the high lights of the paper.Chapter 3 the current situation analysis, which first gives an overall review of the current situation of financial structure in listed companies, then analyzes its problems and consequence, finally analyzes the further reasons that cause these problems.Chapter 4 countermeasures, which bring forward the principles of building and optimizing financial structure, and also the countermeasures including the optimization of stock ownership structure, a clear definition of main body, property right allocation, an internal supervising mechanism, perfect evaluation function of external governance markets and the perfect of related laws and regulations.
