Study On The Relativity Of The Corporate Governance And The Corporate Performance

Nowadays, the sign of the success of companies is the improvement of the company value, (in a general way, we consider that company value is the shareholders' value). The shareholders, managers and staff are making great effort in creating value to make the company value in the highest level. Many exporters, theoreticians and doers have tried to find the relationship between the company governance and the company value, to harmonize the shareholders' and the managers' benefits by the salary programming. So, the company government is becoming the hot research subject world widely, and received lots of recognition.After china joined the WTO, our companies are facing the severe competition, and their status in the world market will affect the development potential and the competition strength of Chinese economy. The construct of company governance will affect the Chinese economy, the reform of Chinese finance and the sustainable development of Chinese stock market.But up to now, we don't have a consistent conclusion of the relationship between the company governance and the company performance. In foreign countries, western scientists did lots of research work about this subject, but they can't make a consistent conclusion because of the samples they choose. In China, scientists also made lots of great achievements, but we also have some limitation in the demonstration research. For example, the scientists didn't pay much attention to the industry factor.This paper is about the company governance and the company performance. First, analyze the existing theory, find the reasonable and unreasonable place;and then study on the Chinese actuality;at last, use the Chinese companies' statistic of recentyears to do the demonstration research. Include two parts as follows:1. The influence of the ownership structure on the company performance2. The influence of the directorate on the company performanceAt last, based on these two factors and the result of demonstration research, this paper try to find the problem in the company governance system in China, and give some pertinence and specific policy suggestion.
