Along with omni-directional competition era between banks in China and abroad approaching, the Chinese banking industry reform has been on a promising road full of bumps and of no return at the same time. Whether taking full advantage of this last opportunity to accelerate the reform process and improve the competitiveness, has become an extremely serious issue that decides the fate of the Chinese banking industry.Corporate governance is an institutional framework which is the coordination between the modern corporate system stakeholder interests and power relations. Along with the complexity of modern corporate organization, the connotation of corporate governance is also developing constantly. From the practice did, good corporate governance is of great significance for the stability of the banking sector operation. In recent years, many having over 100 years of international management experience in large shareholding banks, find themselves in corporate governance issues as a result of managing plight and even bankruptcy; In the banking reform of some emerging market economies, many large banks had not properly resolved governance problems such as "internal" control, household management and so on, which leads accumulation of huge risks and even triggers a financial crisis. Given the significance of the banking company management, the relevant international organizations have also enacted many corporate governance-related legal documents and studies. In order to adapt the requirements of the market development, unceasingly improving the corporate governance has become an important task in the bank industry. If we say that the ultimate goal of China's banking reform is to step out and rank in 100 largest banks in the world, to become internationally competitive modern shareholding commercial banks, then the revolutionary change of company governance structure will be a crucial step deciding the success of its reform.Synthetically using of a combination of interpretation and comparative analysis, historical analysis and other methods, this article systematically studies the corporate governance structure theory of state-owned commercial banks and its operation mechanism, analyzes the...
