Reform of state-owned commercial banks has become the most difficult part in China's economic and financial structure reform with the speed up of China's financial market opening. The corporate governance pattern of commercial banks plays an important role in their reform and in the competitiveness to foreign. In the front of more serious competition from foreign banks, the sustainable competition capacity of state-owned commercial banks comes from promotion of system reform and improvement of corporate governance.On the basis of analysis of the general theory of corporate governance, the article has studied the special features of corporate governance of commercial banks. At the same time, from international angle, the article has compared British and American Model and German and Japan Model, and summarized the experiences and lessons from them. According to analyzing practical obstacle of state-owned commercial banks reform, the article put forward some applicable commercial banks corporate governance reform pattern suggestions. The situation in our country has decided that highly dispersed ownership structure is not the best choice of state-owned commercial banks. Therefore keeping state-owned share relative dominant is the best choice of state-owned commercial banks' ownership structural optimization. At the moment, introducing foreign strategic investors is an effective route to reforming commercial banks, and a prerequisite in implementing financial reforms and opening up the financial market. At the same time, we must look out for problems that may arise, or might be already budding, in the process of introducing foreign capital.Finally, the article analyzes the rebuilding design operation of the corporate governance structure of state-owned commercial banks from the viewpoint of incentive of property rights of human capital, probes into the incentive and restriction mechanism of state-owned commercial banks, promotes the value realization of property rights of human capital, and carries out the optimal power balance of corporate governance of state-owned commercial banks.
