Incentive is the starting point of solving the contradiction concerning enterprises entrustment of agents, and the driving force for the staff of the listed Company to work diligently. The implementation of incentive mode restrains the enterprise operation and management of the agents effectively, urges agents to pay more attention to long-term development of the enterprises, and achieves the expected effect of the trustees, therefore the implementation of incentive mode is an effective way of realizing the utilization of the interests and goals between trustees and agents. To solve the problem of enterprise's incentive problem, to arouse its initiative and to make the best use of its capacity as soon as possible, will certainly play a positive role of promoting the core competitiveness of enterprises. The choice of the incentive mode possesses both theoretical and practical significance, therefore how to scientifically formulate and improve the salary motivation mechanism in order to realize the objective of stimulating higher managements becomes one of the most urgent problems needing solution for the listed companies.Seeking for a kind of effective incentive mechanism which meets all the elements of the accumulation program, gives corresponding awards to stimulate the initiative and the enthusiasm of operators and staff comprehensively, urges it to achieve enterprise's goal diligently, and raises the enterprise's benefit, is one of the most urgent problems for manufacturing industry to solve in Liaoning province. This essay takes this as a starting point, on the basis of the related literature home and abroad, to classify the incentive mode and to compare the advantages and disadvantages of each mode, by analyzing long-term incentive mode home and abroad and summarizing the referential experience overseas for implementation. The essay takes Chinese listed companies which implement the incentive mode in 2006 as an illustration for statistical analysis, collates the present situation and effect of Chinese listed companies which implement incentive mode by analyzing statistics three years before and after implementation to find out applicable conditions and alternatives which are Suitable for the characteristics of Chinese listed companies for building long-term incentive mode, and devises incentive scheme in accordance with the characteristics of listed manufacturing industry companies in Liaoning in order to make contribution for promoting corporate governance level, riching theoretical research in this area, and putting forward The suggestions and countermeasures.
