In order to strength economic administration, internal control emerges, and it has been improving with economic development. The economic and administrative activities of enterprises can not be separated with internal control, it promotes economic units and organizations to establish forms of business organizations with mutual constraints as well as division of responsibility. Internal control system emphasizes on corporate self-adustment, constraints, planning, evaluation and control. A good application of the key management thinking, internal controls, can help to improve management, enhance economic efficiency and competitiveness. But compared with foreign countries, our theoretical research and practical still has gaps both in breadth and in depth. So there is room for improvement from the macro-environment to the micro-aspect.COSO internal control is a more authoritative system of internal control. With the intensity of market competition and the increasing improvement of economic system, the new internal control system based on COSO internal control has a richer content, its management concept is more advanced, more suitable for enterprise management and gains a competitive superiority.Based on the existing internal control system of Shenhua Tianjin Coal Terminal Co. Ltd. this paper analyses the implementation process and results, finds out the existing weak part, and proposes internal control system optimization strategy based on the latest COSO internal control framework models. This paper commits to optimizing the present system through the following ways:improving the internal control environment, construction of Risk Management Structure, control activities, strengthening information management and communication, effective supervision and improvement. And then supplies further supplement to the existing system, stresses the importance of the company Target System, and establishes an effective mechanism to reasonably carry out event identification. The issue of optimization of the internal control system not only has a guiding role for Shenhua Tianjin Coal Terminal Co., Ltd., but also extends to other similar companies in China, so has its own theoretical and practical significance.
