With the advancement quickening of our country reform and opening up as well as the influence of economic globalization, China's enterprises are facing increasingly complex and cruelty competitive environment, especially small and medium-sized enterprise, are faced with competitive pressure is increasing. In the new competitive conditions, more and more small and medium operators began to realize their own strength is very difficult to adapt the complicated and diversified environment of competition, so, if companies want to make up their own strategic gap and achieve rapid development, they must change the concept of competition and seek strategic partners. With the independent development and mergers and acquisitions, strategic alliances this new mode of business cooperation, both in the ability to adapt to the environment or in the capacity of market penetration, can better meet the needs of small and medium-sized enterprise development, therefore, it is the inevitable choice of small and medium-sized enterprises entered a new era of competition. However, the high-risk and high failure rates of the strategic alliances practice to show, make so many small and medium-sized prohibitive. Therefore, the present stage studies the risk control question of strategic alliance in small and medium-sized enterprise appears particularly necessary.This paper uses the strategic alliance theory and the risk management theory as well as qualitative and quantitative research methods, carry on the theory discussion to the classification of risks and the formation of incentives, the evaluation, the control mechanism of strategic alliance in small and medium-sized enterprise. First of all, this paper conducted exhaustive classification to the alliance risk from three stratification planes of strategic alliance, such as external environment, alliance stratification plane, alliance member enterprise, and deeper analysis of the reasons for the formation of different risk. Secondly, this paper designed a program of scientific risk assessment of the alliance integrated use of Delphi Method, Analytic Hierarchy Process, Fuzzy Synthetically Evaluation, and has conducted overall evaluation of the risk of strategic alliance in small and medium-sized enterprise. At the last, this article has constructed risk control mechanism of strategic alliance in small and medium-sized enterprise, such as the trust mechanism, partner selection mechanism, interest allocation mechanism, communication and coordination mechanism, incentive and restrictive mechanism and coalition withdrawal mechanism. In this section, not only try to shape the trust environment of strategic alliance to control the risk, but from risk-prone areas of strategic alliance to start control risk, while focusing on communication and coordination with coalition parties, and constraints the behavior of member enterprise. Therefore, this paper has important practical significance for small and medium-sized enterprise to effective control risks of strategic alliance.
