The essence of competency rests with the traits/characteristics that help determine job performance, differentiating excellent performers from average performers. This research focuses on the competency structure of the chairman of the board in joint-stock companies. The research methods employing in this study include literature research, critical incidents interview technique, and questionnaire survey. The results of this study are important for training and evaluation of chairman of the board in this special type of companies.There are three main parts in this research: The first part summarizes the concepts of competency, the evolvement of competency, the investigation of managers'competency and the measures of competency.The second part studies on the model of the competencies of the chairman of the board in joint-stock companies. The result of factor analysis shows that the competencies of chairman of the board include eight factors: public spirit, decision-making styles, morale modeling, skills of communication and coordination, management capacities, conscientiousness, openness, and initiative spirit. The reliability coefficient of the whole scale is 0.837, and the reliability coefficient of most sub-scale is above 0.70, which shows the scale constructed in this study is reliable.In the final part, the theoretical and managerial implications of the findings, limitations, and future research directions were discussed.
