With the financial globalization developing faster and faster,financial risk is increasing.Our commercial banks are developing faster and faster,but there are still many problems on corporate governance. Risk management becomes to be the core of commercial banks.In the background of financial crisis,improving our commercial banks'governance mechanism,preventing financial risk is the most important things of our banks'development.Chinese scholars research on corporate governance or risk-taking so much.But researches on corporate governance and risk-taking are few. So in the context of the financial crisis, study on the influence of corporate govenrance of our listed banks to risk-taking has a strong practical and theoretical significance.The paper comprehensively uses the logical and empirical study.Firstly,We analyses the the status and characteristics of governance mechanisms of our commercial banks.And then introduces 2 kinds of governance model around this world , and compares these 2 kinds to our commercial banks'corporate govenrance.Thirdly,We analyses how corporate govenrance's influence risk taking from the perspective of board governance,ownership structure and executive incentive.Then we make empirical testing by listed banks'data.The results showed that the ownership structure is the most important influence to risk taking,the borad has notable influence to NPL,but not notable to whole risk,top 3 manager salary has a positive influence to whole risk,euqity based incentive has a negative influence to NPL.This paper,on the basis of the study above,point out that we should lower the risk taking based on the characteristic of Corporate govenrance of our listde banks.
