Study On Corporate Governance And Corproate Performance Of Listed Companies In Henan Province

The core of corporate governance structure's problems lies in ensuring enterprise decision-making more scientific and improving enterprise running more efficient, and the enterprise performance is regard as a important reflection of management sound or not, which can better reveal corporate governance mechanism to some extent. Therefore, there is certain theoretical and realistic significance to discuss and study the relationship between Corporate Governance Structure and Enterprise performance.This topic has used the existing massive statistical data to analyze the present situation, the existing problems in the implementation of Henan Province's companies which had been listed, and used the main ingredient analytic methods to construct five companies'achievement targets (comprehensive performance, credit capacity, profit ability, asset management capability, growing capacity) to explorer the companies'management efficiency and operation mechanism from the three Levels of corporate governance structure (stockholder's rights structure, board of directors structure, managers inspire level) . Finally, this article got the conclusions as follows: Because of high holding and lack of restrict, the first big shareholders means to fretting enterprise performance using combines; The board size is positive with the enterprise ability to pay debt, negative with profit ability, but it can't pass the significance testing; The benefits of doing more than you are paid for in the two-right-separate situation in the particular region of Henan, so separating completely in the right is not always the optimal state; The independent directors can play its supervisory function to promote enterprise's profit ability; Shareholdings plan implementation had no results in Henan province; The management of enterprise salary incentives will play a important role of promoting comprehensive performance.In view of the above questions, this article put forward valuable suggestions such as optimizing equity structure, improving the board of director system and constructing executives incentive mechanism based on the theory of Principal-Agency and Stakeholders.
