In the 21st century, knowledge and technology have become the dominant factors in the world. As an essential element of productivity, human capital is bound to play an important role in economy development. The necessity of human capital participates in income distribution embodiments the idea that human resources should be seen as the most important factor of production in income distribution.Why and how should human capital participate in income distribution? First in this article the author argues that it is necessary to distinguish someconcepts in order to work out a clear definition of human capital. Then, by seeing the problem from the aspects of the property rights of human capital and the one who are taking risk, the author expands her view that human capital could have residual claim right and explore the intrinsic relation between human capital, residual claim right, Stock Options and stock phase weight inspirit. At last, on the basis of analyzing theories of distribution and inspirit of human capital, the author points out the main types of inspirit of human capital and systems of distribution and inspirit of human capital.In this article, the author summarizes the essential points, development and the current research situation of the theories of human capital and points out that it is not only necessary but also urgent to study and explore the research of human capital distribution from the aspect of property rights. The point is why human capital should be taken into the assignment of interest. On the basis of summarizing some documents covering human capital sharing residual claim right of enterprise, the author raises the concept of contribution and value as the foundation of building the model of human capital sharing residual claim right of enterprise and tries to design a model as well. By giving clear idea of the definition and from the aspects of characteristics, efficiency of management and ownership of human capital, structure and characteristics of human capital, the author gives a definite answer whether owner of human capital should share ownership of enterprise.The author argues that owner of human capital could have residual claim right and Stock Options could be the means for getting residual claim right. In this way, the distribution and inspirit of human capital could be realized.
