That is because of the nature of human capital, which determines the incompleteness of contract, consequently, there exist the problem of enterprise surplus property, make enterprise surplus property has the feature of state dependence. Enterprise surplus property configuration has no fixed paredigm, we should from the dynamic, changing perspective to view the evolution and development of enterprise surplus property. Enterprise surplus property configuration is with the interactive game of the owners of human capital and non-human capital and among the owners of human capital under the different contract conditons, and through the process it realizes the changing and optimization. Through the game analysis of the owners of human capital and non-human capital and among the owners of human capital, infer that the crucial of human capital participates in the enterprise surplus property configuration is the symmetrical configuration between residual claim and residual control, the essence of enterprise surplus property configuration is the balanced outcome of equality and dynamic game of the owners of human capital and non-human capital and among the owners human capital.
