The reform of state-owned enterprises and state-owned assets management has always been on throughout the exploration since more than twenty years ago. The problem of Non-performing Assets (NPL) in State-owned Enterprises is giving prominence in the reform track which follows"problem—reform—new problem—reform". It is very detrimental for state-owned enterprises to play the dominant role on the national economy, also to ensure the state-owned assets operated safely and fruitfully.Taking the normative approach and empirical approach simultaneously, the dissertation systematically studies the definition, causes and the countermeasures of the Non-performing Assets in the state-owned enterprises.The dissertation comes to the conclusion that the faultiness of corporate goverance & internal control in the state-owned enterprises is the crucial inducement to the NPL problems. Considering the impact of the current state-owned assets management system and property right status upon the state-owned enterprises'corporate governance & internal control, this dissertation suggests that we should reinforce the microcosmic governance of state-owned enterprises'NPL by rebuilding the corporate governance & internal control to prevent the NPL increment. Besides, the dissertation also put forward the proposals on how to disposal the NPL that already exists in the state-owned enterprises. In the last chapter, a forecast model is established, which utilizes financial data to predict and judge if one company would be faced with the problem of the Non-performing Assets two years later.In a word, following the route from state-owned enterprises'property right, cooperate governance to internal control, the dissertation analyzes and solves the problem of Non-performing Assets in state-owned enterprises from the three layers of the macroscopic, middle and microcosmic and two angles of the qualitative and quantitative analysis.
