This article analyzed current situations of cross-border mergers and acquisition firstly, draw the conclusion that human resource conformity is the key issue of this processes, it will decide whether the mergers and acquisition is successful. Moreover, we defined the realistic signification of this research, put forward the guideline and research ways of whole article.After that, we introduce the theory of mergers and acquisitions; expound principal of human resource conformity for cross-border mergers with human resource management theories.At the third part, we show the role of human resource conformity at the prophase, metaphase and anaphase when multi-national company M incorporates local company S into his border. Human resource team should do duteous check, calculate human resource cost and make policy and culture conformity at respective period.To close it, last part of this paper reviewed the problems when multi-national company merger local company may face, draw the basic principal when we need conform human resources when mergers and acquisitions happened.
