With the development of the globalization of economy and the star-up of free trade, the retail industry began its unprecedented process of internationalization. The capital from the developed country, driven or lured by factors from inner and outer, expanded their domain in the world, especial in the rising market as East Europe, Asia and Med. When China entered the post-transition of WTO period at December eleventh 2004, the retail market was entirely opened and the oversea investment stared their accelerating expanding. The oversea retail capitals regard not only the huge market of China, but also the developing ability of production. They enlarged the stock and export, adjusting their strategy in the world.The stock, being the important apartment of working in Retail Company, experienced a process from passive, opportunism to initiative, stratagem. The relation between seller and supplier also experienced a process from opportunism, schism and confront to sharable, cooperation and Win-Win. The competitive superiority of the traditional single company was replaced by the whole superiority of the supply chain. The oversea retail capitals significantly influence China, also bring the historical opportunity. To improve the relation between seller and supplier and form modern supply chain organization is significant.Deal Cost, commission-agent theory and Competition Strategy theory parting offered the academic support, static and dynamic. It is no doubt that developing modern supply chain organization will benefit both profits and welfare of international trade. And it is doable. The process is lengthy. This thesis quotes the theory of Evolvement Game and builds models to explain the form mechanism.
