The system of Employee Stock Ownership originated from the western capitalism countries. Since it came out in America in1950s, it has arose so much attention. Having developed for several years, this system is being spread in the world as a mature and effective organization of enterprise's property rights. China started to develop the system of Employee Stock ownership system in the early of 1980s,which was first originated in the joint stock system in wenzhou of zhejiang province etc. Then it was ratified by the government and society. At last, this system had developed widely in our joint-stock co-operations by the early of 1990s. For the unfixed operating mode, it has appeared some contraction when it was carried out. In addition, without a perfect theory system to guide it bringing forth new ideas, the system still existed in experiment. So it is very important for deepen state enterprises innovation, improving the structure of public company and establishing modern enterprise's system to research the System of Employee Stock Ownership deeply. The text started with the economic theory of the system of Employee Stock Ownership. Comparing Chinese system with western countries system, we can find its experience and will learn from it. The text thought about some sensitive problems which appeared when it was working , and raised some assume of it. I hope to gain a common operated model to accord with the condition of our country , providing basis to the practice of research result.The paper believes that the system of Employee Stock Ownership is one of target which Chinese Socialism Market Economy is developed better and Chinese enterprises property rights are deepened to reform. This system accords with the innovation of Chinese enterprises property rights. It is helpful to improve the structure of enterprise's administration. It will build up the community of enterprise capital and profit, and realize the state-owned capitals been reorganized, ensure to maintain or increase value of the state-owned capitals.
