State-owned enterprises are the pillar of the national economy. Establish a morden enterprise system is the main direction of state-owned enterprises reform, and set up a standard company governance is the key of establishing a morden enterprise system. The corporate governance of the company is one of the balance mechanisms to solve the problems of the consign and agent relation accompanying the separation of the ownership and control authority of the modern companies.In China, during the development of the socialism market economy, market is opening step by step, many monopolistic industry under planned economy start facing very serious comp-etition. So the state-owned enterprises must continue their reform to convert themselves into standard companies in compliance with the requirements of the modern enterprise system and improve their corporate governance. During the process, most of state-owned enterprises have built up a morden enterprise system, however, some of them still haven't because of the negtive effection caused by politics, economy, law, culture and so on.DOST Company is a typical stated-owned listed company. By analysising it's governance problems based on relevant theories of corporate governance, writer find out there are some problems exist in DOST company on stork equity distribution and management structure. Include: irrational stork equity distribution; state-owned stork are dominating; nominal general stockholders' meeting; function of directorate is not optimal; lack of supervision from board of supervisors; lack of incentive mechanism to operator; ambiguity of responsibility between "old three meeting"and "new three meeting".The features of this paper include the integration combination of cases demonstration analysis and normative theory analysis, and the combination of qualitative analysis and quantitative investigation. All of the strategies and suggestions are scientific and operable. Especially in the aspects of operator incenting and directorate governance and so on, the author puts forward some innovative suggestions in according to what he learnt during the author's working practice.The author hope the conclusion of this paper is useful to the corporate governance of DOST Company, meanwhile it can offer some available experiences for the stated-owned listed companies which has the same background as DOST Company mentioned above.
