In China ,Private Scientific and Technological Enterprises are new things with the Reform and Opening-up. Because of their powerful ability in technology innovation and flexible mechanism, Private Scientific and Technological Enterprises play more and more important role in meeting market demand, filling domestic gaps, continuously promoting economic development and promoting advance in technology as well as in increasing area financial revenue. However, along with the continued expansion of their scale, Private Scientific and Technological Enterprises have met the unprecedented difficulties on the development path. The corporate governance of Private Scientific and Technological Enterprises characterized by the family management, the uncertain property rights, the failure of the incentive mechanism and so on has seriously affected their normal operation and restricted their expansion and sustainable development.With the concerned theories of the corporate governance, this article analyses the present situation and the problems of the corporate governance of Private Scientific and Technological Enterprises, and then studies deeply on property rights and incentive mechanism of Private Scientific and Technological Enterprises.
