With the trade development between China and America, the contradictions, specially relevant to intellectual property rights, in trade have been accumulated. America has the strictest protection of intellectual property rights in the world, but as a big developing country, China can't meet all the needs of the developed countries in this field, so since the 1990s China and America have had several negotiations about these contradictions. This paper expatiates on the basic theories supporting the protection of intellectual property rights in America and introduces its relevant administration system and laws, particularly"Special 301 Term"which is frequently used against China. Meanwhile, it has a review on the history and development of the contradictions between China and America in the intellectual property field, in order to find out the causes which in fact are China's responsibilities as well as some economic and political factors of America itself. In the end, based on the above research and analysis, the author gives some suggestions that the Chinese government build a good social environment for the intellectual property protection and Chinese enterprises improve their consciousness of protecting intellectual property rights, strengthen the ability to innovation, retort to America's lawsuits in time and set up presentiment system.
