Traditional industrial being compared, the Hi-Tech enterprise goes on the constantly innovation that the development needs knowledge and technology, thus relies on the human capital it owns than before, and human capital has more and more role on the foundation of the core competence capability of the enterprise. Human capital has more important status and role on the Hi-Tech enterprise, it's certain to establish the status of human capital's property rights in the corporation. On this base, let the owners of human capital participate in the distribution of the enterprise's residual income to a wider extent. This thesis analyzes why and how the human capital participates in distribution of Hi-Tech enterprise from theoretical and practical point of view.In theory, this thesis is based on the theories of enterprise contract theory, human capital theory and access theory. Setting out from this beginning of the property right of human capital, surrounding this core of the claim to residual, and at the same time combining the practical basis of Hi-Tech enterprise, this thesis points out it's an inevitable trend that human capital participates in the distribution of Hi-Tech enterprise's income.In practice, we discuss the specific forms of human capital's participating in the distribution of enterprise's income. Unifies the characteristics of the Hi-Tech enterprise and its core human capital, we point out that in the Hi-Tech enterprise, the most suitable distribution mode of entrepreneur human capital is the stock option plan (or combines the phantom stock option plan based on EVA), and the most suitable distribution mode of technology human capital is to participate in share through technology. In the end, based on the inevitable trend of human capital participates in the distribution, this thesis conducts an analysis and appraisal on the case of one Hi-Tech enterprise on its mode of human capital's participating in the distribution, and puts out the reformed mode of human capital participate in distribution of this enterprise's income.
