Study On Collocation Of Enterprise Controlling Rights Based On Stakeholders

Collocation of corporate controlling rights is core of corporate governance mechanism. How to collocate firm controlling rights is a key problem to enhance the performance of an enterprise and protect interests of stakeholder. In traditional theories stockholders were the core in corporate controlling rights collocation, which was to a great extent because of the importance of stockholders in daily firm operation at that time. But along with the development of knowledge and network economy, the surroundings that the firms run in has been changed. And as a result capital is becoming less important and stockholders aren't the only principal part any more. According to above background this paper based on firm-theory takes the nature and origin of enterprise controlling rights as the foundation and thinks encouragement important in production in the condition of new economy.This paper reviews the definition of stakeholder and defines stakeholder from a perspective. We interrupt the nature of the firm according to "resource-dependence" in order to explain the nature and the origin of the controlling rights. We form enterprise "resource structure" as the base of collocation of corporate controlling rights. The power in a firm which is a team comes from critical resources which are important to the development of a firm. Enterprise "resource structure" agrees to the view that corporate controlling rights should be collocated according to marginal contribution and attachment of different resources in an enterprise. Additionally enterprise "resource structure" is changing from moment to moment and accordingly the collocation of corporate controlling rights between different stakeholders should be adjusted too. We think that "enterprise resource structure" has great significance because it deals better with the foundation of stakeholder governance and to a great extent makes relationship clear .Also it eases the differences between stakeholders and makes decisions efficient and scientific.
