With the establishment of the goal of reforming state-owned enterprises to set up a modern enterprise system, an ownership clearly and circulation smoothly modern property right system, corporate governance problem became a point for academic and enterprise organizations. The listed companies in Gansu Province mostly are formerly state-owned enterprises. There are still many questions in the governance structure. These disadvantages have been great obstacles in developing the governing competence and the operating performance. Facing with the more opening-up economic environment, to set up and perfect the corporate governance of the state-owned enterprises has many great signifances. It can not only successful promote the achievement of the goal of reform of economic system but also improve the competitive abilities in domestic and international markets.By researching the related domestic and overseas corporate governance theories and investigating the governance model of mainstream companies in the world, this thesis aims at to come up with the perfecting orientation of the corporate governance of listed companies in Gansu, which based upon the empirical analysis of the governance structure. First, it synthetically analyzes the related domestic and overseas corporate governance theories, and concludes the basic framework and contents of the governance inside and outside the corporate. And then, from the five aspects of ownership structure, shareholders meeting, board of directors, board of supervisors, company management, it detailed analyze the governance structure of listed companies in Gansu, and find existing many problems: For example, the state-owned share is of overwhelming ratio in the total amount and the composition of ownership structure is relatively monotonous. The share ratio, representing the board of directors is relatively low. The board of supervisors is not efficient enough and the salary of managerial personnel is relatively low with simplistic methods of stimulation. In the end, for these questions this article advances the related countermeasures and advices from optimizing the equity ownership structure, improving and perfecting the corporate management system, strengthening the outside supervision and so on.
