State-owned commercial banks, as the principal part of Chinese banking industry and also the vitals of Chinese economy, has made immense devotion to the development of the state economy and the adjustment of industry structure. Due to the historical reasons, there are still many problems in state-owned banks, such as hidebound structure, single products, deficient marketing competition ability, etc. With the growing up of joint-stock banks and the fast development of foreign-capital banks, state-owned banks are facing the pressure of talent loss and market share loss as well as the challenge of financial globalization. If a state-owned bank wants to remain invincible in the market competition, it must establish compliant human resource development structure, including scientific and effective assessment system and merit distribution system, which excavate potential of employees, optimize collocation of enterprise's resources, enhance competition ability and realize the operating strategy and object of the enterprise.The thesis investigates a second-level branch of 'N' bank for the purpose of research in the aspect of theory and practice. First, the thesis expatiates the background and purpose of the research. Second, the thesis analyzes the development trend of bank assessment system and compares the merit distribution systems between domestic banks and foreign banks so that we can learn from the experience of the advanced banks. Third, the thesis analyzes the present status of assessment system and merit distribution system of 'N' bank, construes the existing problems as well as the reasons of the assessment system and merit distribution system of 'N' bank. Fourth, according to the guideline of two steps for the reform of the bank, the thesis introduces the 360-degree assessment theory, the simulate profit theory, the KPI theory and the balance score theory. On the base of actual status, the theory brings forward the project of establishing assessment system and merit distribution system and founding assessment system based on balance score theory. In order to guarantee the effect of the merit distribution system management, the thesis also brings out six measures and conclusion. This thesis can be used for reference for the reform and development of state-owned banks at present.The innovative points of this thesis include:1. According to the present status of the state-owned commercial banks, the reform of merit distribution system is divided into two steps: 'reform first, consummation later and innovation last' and 'make experiments first and spread later'. In this way, 'N' bank can remain the continuity and stability of its business.2. Multiform of assessment methods are used pro rata and in multi-aspects in the assessment to units and individuals. The assessment is all-around, scientific and advanced.3. The merit distribution flat is established and the system of 'grab' is formed. More pay for more work. The employee's enthusiasm is inspired.
