The high-tech enterprises, as the new enterprise, acting an increasingly important role in national economy, and sees on the development trends, the status and role of high-tech enterprises in whole enterprises will become decisive with changes of the quality and quantity of high-tech enterprises. As in high-tech enterprises, the human capital has become an important factor in corporate governance structure , strengthening human capital management structure of the knowledge-based economy under the conditions of high-tech enterprises become the most typical form factors influence corporate governance ,Compared with the traditional enterprise ring for high-tech enterprises have made remarkable specificity, So the conclusion from the traditional corporate governance structure leads a limited role for the high-tech enterprises . Therefore, the author chooses high-tech enterprises to study, try to explain some of the problems from traditional enterprise management experience and previous research, then to make own opinions about the management and development of China's high-tech enterprises.In this paper, theoretical analysis and empirical analysis, using basic economic theory, analysis, Analysis of high-tech enterprises through various internal control structure in the performance of the business impact of human capital to study the non-high-tech enterprises and human capital leases, to explore new and optimal human capital management structure for the core model. And external managers of the marketing are virtually non-existent in our country, unable to have an effective impact on the company's operations. Meanwhile, the collection of the data is limited by the character of high-tech enterprises as the source of the samples, Therefore, the structure of corporate governance on the high-tech venture capital, stock options and other indicators are affected.Because the author's inadequate in collected materials, theoretical foundation and other fields like this, there is more or less problems such as missing text, language interpretation ,and other issues are exist, expecting experts and scholars'correction.
