China-ASEAN relations warm up abruptly since this century, and the mutual cooperation between them has been gradually deepen and enlarged, by which lead up to the interdependence between each other. Throughout the mutual benefits under the condition of interdependence of China and ASEAN, in turn, the foreign direct investment (FDI) toward ASEAN by China can be powerfully enhanced. The paper tries to analyze the FDI toward ASEAN by Chinese corporation basing on the principles of Interdependence consisted of the Theory of New Liberalism in the field of International Political Economics.Generally speaking, the strategic partnership between China and ASEAN for peace and prosperity, the establishment of Free-Trade Area and the policy of creating an amicable, secure and prosperous neighborhood, the needs of exploiting ASEAN market and the pressure from the appreciation of RMB which strongly boost and drive China's FDI toward ASEAN. Furthermore, this kind of FDI also can cause a series of political and economical effects. In the political aspect, FDI can lead up to the stable neighboring situation, the removal of fears of China Threat, the acceleration of the process of East Asian Integration, the promotion of China's international prestige as well as the enhancement of China's influential power in East Asia. In the economic aspect; FDI is significant for optimization and upgrade of domestic industrial structure, making full use of ASEAN resources, making up for the lack of domestic resource and advancing chinese corporation's competitiveness. Focusing on the existing problems from government, corporation and host countries during the process of China's directly investing in ASEAN, the paper also puts forward some thoughts and suggestions.
