As china is engaging in a national drive of reform and opening to the ouside world, foreign-capitaled enterprises choose their development in China which promote china's economic to a higher development. The developmemt of Sino-foreign enterprises need fine macro policies, besides that the parts should establish a mutual trust relationship in order to better attract and retain as well as spirit up the talents who required by company as a special point. How the Sino- Foreign enterprise conbine its own characteristics and demands to set up, standardize and reform its compensation and benefit system, which would make for company a healthy development but also maximize the human resources potential exploitation, is the crucial tache in the human resources management of Sino- foreign company.The domestic and overseas countries exist sharp differences in the thought and purpose of the compensation and benefit system research and design. The joint venture exists different cooperative nations, ecomomic systems and cultures.Therefore, joint-venture had better not copy any compensation and benefits systems neither in theory nor in form.This article takes a Sino- foreign joint venture company A's compensation and benefit establishment and reform as the research object. Through conducted investigation and analysis on Company A's compensation and benefit from the aspects of its stategic thought, running status and current difficulties as well as inner & outer conditions to make sure the new compensation and benefit structure. Then, work out new posts and compensation and benefit grade structure by classifying company A's all posts and make evaluation through the manner of checking the number. And work out a reasonable compensation stucture and level by referring to the date of the compensation investigation and employee satisfaction. Through flexible benefit to meets the both of the employee and company's development demands. After the new scheme put in practice, it will work in turning the scale of the compensation's pertinency and applicability, improve employee's enthusiasm and work efficiency, enhance company's manage ability and strengthen empterprise's competition ability and continuable development.In addition, this article indicates company A's compensation and benefit system design exists some common questions, which could be used for reference in Sino- foreign joint venture's compensation and benefits redesign.
