The restructuring and reorganization of state-owned tourist hotels is the inevitable choice and trend of the times in the development of China's economic reform. There are some reasons for the difficulty of most state-owned tourist hotel. One is the long last standing systematic and subjective factors, others include the highly competitive market. Based on the contemporary corporate restructuring theory and introducing the development trends on tourist hotel industry, taking the restructuring case of QL Hotel as an example, this thesis proposes a new solution to the hotel industry in Shandong Province. That is to grasp the good time of overall restructuring to form a large tourist hotel management group. Through the capital operation and hotel management, Tourist hotel industry will be enforced and realize the goal of state capital withdrawing from the industry and achieving the internationalization of this industry.This thesis presents a choice on how to effectively implement the restructure and reorganization on state-owned hotel industry. That is to assess the state-owned property rights in hotel industry, and make the actual gain or loss as the basis to examine the achievement of the new hotel management group, or use it as the net asset to cooperate with new strategic investors. The Provincial State-owned Asset Management Committee (SAC) could exchange the enterprise shares with the SAC of the local authorities, and encourage their mutual holdings of state-owned shares to propel the joint stock reform of key enterprises. Through the allocation, stock exchange, investment to form a new hotel management group. The short term goal is to preserve and increase the value of state-owned capital. The medium term objective is to withdraw state capital to the proportion of 51%, and the long-term goal is to completely withdraw the state capital from the hotel industry.Once the Hotel Management Group is established, it should be implemented professional management. The expert will carry on the task of enterprises' restructure, and adopt various methods to realize group operation in a short period. It will uniform the brand and unify the service level through network control to build up a strong and large enterprise.This thesis includes seven parts. The part of introduction explains the background information of the topic and theme; The second chapter narrates the corporate restructuring theory and contemporary tourist hotel industry trends; The third chapter analyses the entire tourism industry, and predict the development trend in Shandong Province; The fourth chapter explains the difficulty that the state-owned hotel in Shandong Province has faced, and their current means in reorganization; The fifth chapter selects a representative of the hotel enterprise restructuring case, hopes to find a solution to the previous question; The final conclusion proposes a new method for the restructuring of the state-owned hotel, suggests to absorb advanced experience in the industry at home and abroad in order to establish a suitable mode of operation for the state-owned Hotel Management Group.
