As China's iron and steel industry's rapid development, China is facing the problem of shortage of iron ore resources, the imported iron ore increases in recent years. However, China's imports of iron ore pricing power losses, the import price of iron ore and sea-freight costs rising in recent years, this has seriously affected the health development of China's iron and steel industry. This severe urgent require China's Steel Enterprise change the current use of foreign iron ore to invest overseas directly, explore iron ore resources abroad, establish a group of foreign iron Mine production supply base.This paper reviews the theory of international direct investment and overseas investment has been made about the iron, introduce the global and China's iron ore resources development and utilization statement. From the perspective of supply and demand of China's iron and steel industry reveals the rapid development of the iron ore Domestic demand and the insufficient supply of iron ore, and a detailed analysis of China's imports of iron ore to China's economic development and the negative impact, on this basis it is necessary for China's Steel Enterprise to the invest foreign iron ore resources. Then analysis China's existing foreign investment in iron ore resources and its exist problems, from the investment area, investment method and investment risks identified three areas of prevention and to address where the investment, how to invest and how to identify and avoid risks of the problem. Finally the paper make a series of promotion proposals for China's Steel Enterprise overseas iron ore investment, help Government enact mineral resources "going out" strategy and China's Steel Enterprise's strategy of globalization.
