The railroad land use is the necessary material base of railway operation. The management of the railroad land use is an important part of railway production safety. Since the founding of the PRC, China's railway land management system has experienced savings from extensive management to intensive management, from resource-based management to the changes in asset-based management process. Current sustained and rapid economic development, land prices continuing to rise and the railroad development by leaps and bounds to trigger a new round of railroad building boom, the railroad reform and development entering a crucial stage, these position propose a more stern challenge to the railroad land management work. The purpose of this study is to conclude the characteristics of railway land management institutional change since the founding of the PRC, then use the theory to explain. Base on this, it try to find out the constraints of railway land management institutional change currently and the next stage, at last put forward the suggestions.This paper uses the new institutional economics theory, analysis the demand factors and supply factors of China's railway land management institutional change, and induced factors have led to the bureau of the micro-organization of the main changes in revenue and cost model. On this basis, it forms the analytical framework of institutional change within the bureau system. Using this analytical framework, it divides the whole institutional change process into three stages. Then it makes a specific analysis, includes policy summary, institutional features research and the interpretation to the formation of the characteristics. Consequently it finds out the key issue of China's railway land management institutional reform is how to reckon land resources allocation efficient. In response to this problem, it compares the two current assets reform of both the advantages and disadvantages. Finally, on the basis of summing up the experience of foreign countries, the suggestions are raised mainly about the development model, incentive mechanism, evaluation system, monitor management, and assets disposition mechanism.
