Entering the 21st century, our country Enterprise is facing the unprecedented challenge. The overseas large-scale multinational corporations enter our country in abundance, while seize the market also to carry on the contention to our country outstanding talented people. To defeat the formidable match in the market competition, the domestic enterprise must occupy initiative in the competition for talent firstly. The overseas development facility provides the material indicated that, in a modernized enterprise, adding a qualified worker every time, it may obtain 1:1.5 economic effect; Adding a qualified technical personnel every time, it may obtain 1:2.5 economic effect; Adding an effective superintendent every time, it may obtain 1:6 economic effect. Thus it can be seen how to attract the best talents to join the senior management of enterprises and give full play to their abilities will become domestic enterprises must face and resolve the key issues.Through brief elaboration about management and economic theory related to top managerial compensation incentive, this article has analyzed the domestic and foreign top managerial compensation incentive theory development as well as the achievement. And it has compared the characteristic which American, Japanese as well as the Chinese top managerial compensation incentive. Then by the positive research method we research on our country high-tech company compensation incentive mechanism, and discover insufficiency which the present stage we exist. Finally, the HDA Corporation present situation about the top managerial compensation incentive mechanism has carried on the analysis, and to its top managerial compensation incentive mechanism we propose the reasonable effective improvement program.This article conducts the research to the high-tech company top managerial compensation incentive mechanism, intending to explore general logic of regular and establish top managerial compensation incentive mechanism conformed to the Chinese national condition, which provides the model for other profession enterprise.
