Research On China's Business Group Governance Mechanism

With the gradual deepening of state-owned enterprise reform, the establishment of great business group has become an inevitable trend in China's economic development. Based on the analysis, reference and integration of relevant theoretical research results, this thesis takes China's parent-subsidiary business group as research object , analyzing the relationship among business group members, business group governance-motivation, subject, object and the target. Later, after comparing the governance experience among Korea, Japan, Germany and American's business group from the perspective of business group members'relationship, business group governance-motivation and subject, this thesis advances that both the internal and the external part constitute the business group governance mechanism. And even that, the internal part includes controlling mechanism, finance governance mechanism, incentive mechanism and trust-coordination mechanism, while the external part includes supervision mechanism relative to market, government and stakeholders. Then, after analyzing the governance experience of China's business group, the thesis concludes that governance problems exist in implementation. Aiming at the stated issues, this thesis puts forward relevant proposals to optimize China's business group governance mechanism.
