Study On Governance Mechanism Of Corporate Group

With the rapid development of Information technology,the form of corporation has showed a trend of more advanced. Exceeding the juridical person borderline, governance boundary has extended to the scope that corporate can control. As far as modern corporate is concerned, establishing business group is an important way to develop. Corporate can extend business scale through establishing subsidiaries, which means not only the distribution. So the governance of business group needs to involve not only the location of responsibility, privilege and interest in single legalist homo enterprise but also the balance of interests among companies in the internal cooperation network of business group, especially the relationship between Parent and Subsidiary Company.Currently,the study on corporate group governance is of theoretical significance. Because the previous study on corporate group governance,focusing on the description of solutions to problems in practice,fail to present a thorough theoretical analysis of the intrinsic mechanism of corporate group governance. The study on corporate group governance is also of practical significance. Because among with the corporate groups expanding rapidly since the reform of state-owned large and middle scale enterprise and the development of bankruptcy,annexation and reorganization in1990s,corporate group governance has exposed various problems. Therefore,a comprehensive survey of the intrinsic mechanism of Chinese corporate groups is necessary,which in turn promotes the national economy development and enhances the international competition strength. That is why the author chooses corporate group governance as the topic of this thesis.Based on the previous studies,relating these two hot topics together,this thesis gives a systematic theoretical analysis to corporate group governance mechanize. First,based on the definition of corporate governance,the author first attempts to define the connotation of corporate groups governance. Then, analyze the business group governance-motivation. From the view of transaction cost economies, we confirmed the governance boundary and objective. On the basis of these discussions, a basic theoretical structure of the governance of business group was established. Next, we explained the difference between the governance of business group and the single legalist homo enterprise governance, after that, we analysis the operation mechanism of business group governance mechanism. Then, after the intensive study of the ownership structure, governance structure and governance mechanism of business group, the thesis concludes that governance problems exist in implementation. Aiming at the stated issues, this thesis puts forward relevant proposals to optimize business group governance mechanism.
