With the development of the market economy of our country, the family business has become the most powerful force in developing economy, absorbing labor force, increasing the residential income, accelerating the constructing of the full-scale ideal and harmonious society. Therefore, the family firm development has being concerned more and more by theorists and officials, and also the research on family business has being highly lighted. The vicissitudes of enterprises largely depend on whether the enterprise's governance structure is efficient. Studying the limitation of family firm's governance structure, seeking its causes, promoting the improvement of governance level of family firm, not merely has a great theoretical meaning, but also realistic meaning for instructing the private enterprise to establish and perfect the high-efficiency governance structure. The family business is not the pronoun of lag, but is a corporation system which suits to the market economic. The family business'own defects will baffle it develop when it grows in a period. Because of the special historical condition in our country, the family business presents some defects of governance structure, for example, the reasonless stock rights structure and lacking of long time motivation mechanism and so on. The study indicates that most of the corporation crisis appeared in the Chinese family firm sometimes is caused by the governance structure. Because of its advantage in management and rationality of system, the family firm will exist for long time. So optimizing the property right structure, creating the thought of value management of EVA, such kind of measures are beneficial to urge the family corporation develop well.
