With the increasingly fierce market competition, talented people have become a very crucial factor assisting national and international enterprises to achieve their strategic goal. Competition for talented people is one of the core content of market competition. Particularly for executives, they have received good education and training program and are endowed with advanced theory, rich management experience, excellent technical skill and acute observation power. What's more they know the important commercial secrets of their enterprises. Once they leave the company, it will cause immeasurable losses to the company. According to the experiences of developed countries and China's practice, the success or failure of an enterprise often depends on executives' management skill. Therefore, in the modern enterprise system, the executives play a very important role. In order to maximize their initiative, enthusiasm and creativity and tap their wisdom to enhance the enterprise's responding ability, promoting and managing executives therefore is particularly important.Based on the research of traditional and modern theories of incentive mechanism, through learning domestic and international development trend and research status and investigating the successful mode of incentive mechanism of national and international enterprises, by using the combination of theoretical analysis and case studies, qualitative and quantitative analysis, the thesis brings forward the idea that we shall establish the executive incentive mechanism which matches the enterprise development in state owned enterprises, taking Qingdao Beihai Shipbuilding Heavy Industry enterprise as the representative. And meanwhile it brings forward its own idea: the key to establish executive incentive mechanism in state owned enterprises is that we shall promote the state owned enterprise classification reform, deepen the property right reform, provide executive necessary property right incentive, build up modern enterprise system with diversified ownership and form an effective enterprise legal person management structure.
