The Research On Corporate Governance Evaluation System Of China Insurance Companies

Corporate govenance, which is concerned with the polices arrangement of enterprise's operation and control, its objective is to realizes the maximization interest of all quarters. By a scientific evaluation system, corporate governance evaluation could evaluate and analyse the status of corporate governance, then find and estimate the problem in corporate governance. Those problem should been settled in time with efficiency measure.. Now, the research on corporate governance evaluation of china insurance companies is Still in the qualitative analysis, and lack of a quantifiable evaluation system. Therefore, to establish a comprehensive, accurate and scientific evaluation system would have realistic meaning for the improvement of Chinese insurance company's corporate governance.All the corporate gocernance ecalution index systems have their own norms and scope for carring out. This dissertation will base on domestic and international's mature corporate governance evalution systems, then combinating the corporate governance laws and regulations of china insurance companies and the recommendation of related experts and scholars. Finally, we constrct a set of corporate governance evalution index system ,which is suitable for china insurance companies. Through comparative analysis of the domestic and international corporate governance evaluation system, We find some characteristics in our existing corporate governance evalution system. Then For the existing issues in corporate gocernance of insurance companies in China and the relating requests made by official insurance regulator, We Construction of a preliminary governance insurance evaluation index system, including: ownership structure and shareholder rights, board's structure and functioning, supervisors and the board of supervisors, senior management, disclosure of information, internal control and risk and compliance management, management capacity and risk control. Through the empirical research of China Life Insurance Company, We think that its corporate governance standard is good, but it still need to improve its ownership structure, board functioning, management hiring mechanisms, and supervisors capacity-building.
