A Survey Of Corporate Governance Of Joint-stock Commercial Bank In The Period Of Reforming Of China

"Corporate Governance" has been introduced as an economic conception in 80s of 20^th century.There are different interpretations of it from the first day when it came out. Basically, the principle of the Corporate Governance is the stockholders and corporation profits protection with the control and supervision of managers' decisions. Chinese joint-stock commercial banks are under a crucial development stage for the reformation. As from Dec. 2006, Chinese banking market has been totally opened to foreign capital, which means Chinese joint-stock commercial banks should make competition in every area with well-developed foreign banks while the fighting against national banks is continuing. Retrospecting to the former process of banking reformation, the most important and advanced part of it usually comes to the innovation of the core system.The lag of system development turns out to be the choke point of further reformation of Chinese joint-stock commercial banks. To my point of view nowadays, the sticking point of banking system innovation should be the promptive construction of effective Corporate Governance, which could be the fundamental guarantee for the healthy development of the corporations.This thesis has put forward the chances and challenges of Chinese joint-stock commercial banks' Corporate Governance under the special economic transition status. Furthermore, the status quo of Chinese joint-stock commercial banks' Corporate Governance has been analyzed. The improper parts of it have been discussed such as the defects of the organization, the share option, the information distribution, and the mechanism of encouragement and restriction.Based on those problems and Chinese special economic situation, the thesis makes some solid suggestions for the resolving methods.The methods contain two parts in the whole, which are the administration of exterior and interior.The interior administration mainly contains the optimization of share option structure, refinement of the organization framework, establishment of practical mechanism for encouragement and restriction, standardization of enrollment criterion, and the healthy culture of the governance formation.At the same time, the exterior administration mainly contains the completing of the marketing mechanism, the information distribution system, and the external inspection mechanism.
