The subject of this study is moral responsibility of professional managers. And it aims to improve moral qualities of professional managers, to strengthen the building of professional ethics of professional managers and to promote improvement on management level of all types of enterprises in China. The whole thesis is divided into three parts. The first part sets forth the definition, feature, and gist of moral responsibility of professional managers. First, it elaborates the definition, emergence and its conditions and evaluation of moral responsibility of professional managers and clarifies the relationship between the professional responsibility and moral responsibility of professional managers. Then, it analyzes the reasons that professional managers assume moral responsibility from different perspectives: freedom in choice of professional managers, trust relationship, smooth operation of enterprises, establishment of good images of enterprises, maintenance of market order and sustainable development of society. The second part systematically analyzes main moral responsibility that professional managers should assume. Inside enterprises, professional managers have the moral responsibility: to the investors, ensuring the achievement of capital appreciation, the right to know the conditions about the enterprises and the interests; to the staff, respecting them, guaranteeing their right and providing opportunities for their development; to the enterprises, determining the orientation for the long-term development, expanding survival space, establishing brand and building culture of enterprises. Outside enterprises, professional managers also have moral responsibility to consumers, competitive or cooperative enterprises, communities, government and environment. The third part probes into the conditions to achieve moral responsibility of professional managers. Today there are a lot of phenomena about moral disorder and lack of moral responsibility of professional managers in the field of enterprise management, which shows it is a pressing task to create the conditions of achieving moral responsibility of professional managers. The macroscopic conditions include integrating capital and knowledge, creating a favorable legal environment, upholding the orientation of social values and carrying out social rewards and punishments. The intermediate conditions mainly include realizing the internal surveillance and external constraint based on establishment of performance evaluation criteria. The microscopic conditions mainly include improving the quality of stakeholders and the virtue of professional managers.
