In transition of market economy of China, parts of state-owned enterprises are influenced by traditional enterprise system and difficult to meet socialist market economy so as to be worsen constantly, one basic reason on leading to these is that their company system now is out of date. With time past, the indistinction between functions of the government and those of enterprises, administrative interference, omission on management and administration, owner of enterprise, unclear operator power and responsibility, being lack of essential restriction mechanism. Because of worse these above, enthusiasm about company staff including top managers can not be given full play in their working positions, so that market competition advantage and ability of enterprise are relatively weak. Because of this, reform of state-owned enterprises have already been received general concern of each side from different walks of life, and at present large domestic quantities of state-owned enterprises have made obvious effect under new market economy terms through reform system.HT is a state-owned enterprise in some area under the jurisdiction of the municipal government at county level in the west of China. Because of the indistinct- ion between the functions of the government and the enterprise, the contributor be misplaced; the stock right composition being single, the sustaining and expanding development fund of company being seriously insufficient, the backward ability of the production equipment being insufficient; the internal management being confused, the company being lack of cohesiveness; encouraging weakening with tied mechanism, enterprises being short of vigor, " Equalitarianism " and " Mess " still existing, thoughts of inner workers waiting for, depending on, expecting being serious; the market position HT being lower and having weak competitiveness, the economic benefits relatively being to increase slowly, the salaries of workers being badly paid one time to time etc. From these we can see that, the thinking mode of traditional state-owned enterprise management and the habit of thought still shroud and perplex the development of HT.This paper is on the basis of the reform theory of state-owned enterprise and relevant research in policy. Under an analysis of HT current situation and environment, the author has used SWOT method to define the strategic developing direction, and pointed out the real route in HT strategic development--Pluralistic shareholding transformation. The paper has emphasized the necessity of reforming system through the dissecting deeply of the problem existing to the inside at present and external environment condition, defined the principle that HT is to reorganize and expect purpose that up to through going on analyzing, gathering major policy of HT reform system, put a overall thinking reorganized, designed the concrete scheme that HT will put up to reform system, under the present policy pointed out legal environment, general procedure, the principle followed and normal, concrete operation link reformed system of HT corporatization, etc. In the design of stock right, having related to introduce and develop favorable strategic investors in the future company; having adjusted state-owned stock, that is, one loud unreasonable stock right structure alone; having implemented authorities personnel holding share between workers and managers so as to help the new enterprises after enabling and reforming system reach the pluralistic goal on the structure of stock right, thus the enthusiasm helping to shift every investment subject to care about and support the development of enterprise. In the reform implementation, the author has proposed relevant attention questions around healthy and orderly supplementary measure of HT reform, put emphasis on the importance of improving internal administration structure of the company in accordance with the law and the route, done abundant foreshadowing for HT listing in the future by all of these.
