An Investigation Into The Operational Mechanism Of The Supervisor Committee In FAST Group Co.

The Supervisor Committee of FAST Group Co. Ltd., a representative of state property right, is a supervisory organ sent to the corporation by SASAC of Shannxi Province to reinforce the intendance of state-owned assets.In the recent years, as the pace of reformation and development of the corporation speeds up, the task of the committee has been confronted with a serious of new changes, and some problems, which include limited power, function overlap, lack of ways and means, and systematic disorder, have occurred in its working procedures.Under such a background, this article, in the field of corporate governance mechanism, aims to investigate and analysis the functions, effects and operational processes of national and overseas supervision institutions, and comes to a conclusion that a successful supervisor committee must, in some degree, possess a kind of independency, authority, fairness and innovation. Applying the theory of commission, the theory of corporate governance and the theory of prompting and restriction, the article studies those causes of the problems which have occurred in FAST Group Co.. It also assumes that, in order to promote the reformation of state-owned enterprises, the supervisor committee has to suit itself to the new situation of the reformation and development, to perform its duties perfectly, to improve its supervisory approaches, to strengthen supervisory authority and effects continuously, and to study new theories in order to search for solutions to now problems. This article mentions the following specific routes: 1.Applying rules to standardize the assignment of supervisor committees. 2. To expand the duties of supervisor committees in their practices. 3. To build up the authority of the committees systematically. 4. To improve the personal resources management of the committees. 5. To reinforce the responsibilities of the committees in the aspect of mechanism. 6. Funding the committees to make sure that they are independent.This paper holds some positive and demonstrating meaning to the reinforcement of state property intendance in the similar types of state enterprises. To some extend, it can be theoretically used for reference to the reformation and development of the supervisor committees in state enterprises.
