Research On The Effectiveness Of The Operation Of Supervision Committee's In State-holding Branch Companies

It is the responsibility of the state-owned subsidiaries'board of supervisors to maintain the rights of the state-owened assets and prevent the distortion of the accounting information, however, it is not true during the practical economy operation.The article studies the operation situation of the state-owned subsidiaries'board of supervisors, evaluates its validity, analyzes the reason of its failure and researches the improved measures to promote operation validity. The effective operation of the state-owned subsidiaries'board of supervisors is beneficial to perfect the supervision system, prevent the loss of the state-owned assets and promote its preservation and increse.According to theoretical basis of the board of supervisors system and the regulation towards its function in the company law, the article studies the operation validity's connotation and definition of the state-owned subsidiaries'board of supervisors and tries to establish the operation validity's evaluation system and supervisors'competency model by using the analytic hierarchy process .Collecting the operation data of state-owned subsidiaries'board of supervisors by questionnaire and interview which is managed by state-owned assets supervision administration commision of Guangdong Provnce, evaluating it by the board's operation validity's evaluation system, the article drawes a conclusion that the operation validity is general. By the descriptive statistical analysis of effective operation factors, the problems such as poor independence, the lackness of supervision materials and incentive mechanism , grammaticalization of supervision mechanism are found.According to these problems above, the article studies the measures which could improve the board of supervisors'operation validity: set up the internal audit system which is led by the board of supervisors, enrich the supervision material; improve the supervisors'election process, introduce external supervisors and establish guarantee mechanism of supervisors'cost and so on to strenghten the independence; perfect the working mechanism, implement the supervision function; establish the incentive and constraint mechanism and clear the supervisors'responsibility. The board of supervisors'phenomenon which is hollowing, vase style and supervision failure is resolved and the board's operation validity is improved by these measures in order to perfect the internal supervision mechanism and corporate governance structure, improve the supervision effect of the state-owned assets continuously and promote its preservation and increse.
