The direction of the development of enterprises is determined by its strategy. After more than 10 years' development, M & A has become an effective way to development and expansion of the enterprises in China. However, the development of the M & A is impacted by its low success rate and high risks. Most failures of M & A due to the inappropriate selection of the strategies. Tianyu Non-ferrous Metal Group is the provincial large state-owned enterprise. Based on the current situation of Shaanxi Non-ferrous mineral resources and the actual development of Tianyu Non-ferrous Metal Group, strategic management theory such as diamond model, SWOT and core competitiveness is used to analyze the internal and external environment, evaluate the key strategic elements and optimize the M&A strategic plan, finally the M&A risks are minimized largely. Connection the actual case, the elements such as acquisition mode, target acquisition and merger mode and other factors are considered to identify acquisition targets gradually and create the correct effective acquisition strategy step-by-step. Therefore, sustained and healthy development of the non-ferrous group in Shaanxi Province is promoted by the success M&A strategy, which become a reference in the process of the non-ferrous group's M&A, especially in a similar enterprise groups.
