As the foundation of the national economy, agriculture has always been emphasized. It is the advanced agricultural technology that fosters the splendid culture of ancient China, and China has therefore been known as "the four ancient civilizations" with India,Egypt and Babylon. However,in modem times, due to various historical reasons, agricultural development has been slow, and even retrogression, the overall level has fallen far behind the developed western countries, some still in the primitive society where even the "slash and bum",hampering the economic development of china at large extent.Fortunately, the Chinese government has realized the importance of the issue, and promulgated a series of policies to support agriculture after liberation. After three main stages of the agrarian revolution, the people's commune, the household contract responsibility system,China agriculture has undergone tremendous changes and laid a solid foundation for the rapid development of China's economy. However, with the rapid development of economy, the existing model of agricultural production has become increasingly unable to meet the needs of the community. We must abandon the existing small farmers in production to achieve agricultural modernization and implement the reform of industries. The industrialization of agriculture refers to link a series of processes together, such as from the supply of agricultural means of production to actual production of the farmers, from agricultural harvest, transportation to the final storage, sales, forming an industrial chain which can greatly improve the efficiency of agricultural production. The industrialization of agriculture of China gives priority to the co-main contact of "the company +farmers",such as Hefei Fengle Seed Co.Ltd.But this pattern exists the issues of the breach of contact, the low initiative of farmers crafts and so on.This paper analyzes the organization form and operating mechanism of China's agricultural industrialization using the transaction cost theory, the theoretical division of labor specialization and economies of scale theory, combines with foreign agricultural experience and lessons of developed countries, puts forward innovatively the shares mode of cooperation of "companies+farmers." The most advantage of the mode is the change of farmers as the supplier of agricultural produces in industrialization of agriculture and let them participate actively in the planning, decision-making and management of company. And also the farmers can allocate a reasonable profit in the proportion of shares at the end of a year, which greatly enhanced the enthusiasm of the farmers:of the workforce and increase the income of farmers,to a certain extent, geared to the requirement of building a new socialist countryside in china. In line with the smooth proceeding of the industrialization of agriculture of the Cooperative model, this paper proposes to reform the land property rights system and implement the land circulation system. Therefore the farmers not only have the right to use land, but the right to dominate to a certain extent,so that they have not only shares available for the physical, but make land resources to be reallocated and utilized in the market, increasing the efficiency use of the land.On the other hand, this can also enhance the mechanism of market competition and eliminate the small-scale companies, leaving the left ones stronger and is conducive to the further development of industrialization of agriculture.Meanwhile,China should promulgate a series of policies and regulations to guide the sound development of company. Absolutely,on the basis of scale-enlarging,we can not ignore the connotation of development, such as produce quality and new product development.
