Because of economy sustaining a high growth, our enterprises have accumulated much fund; at the same time, under the influence of the Subprime mortgages, the American and world economy has a slow growth, leading to global downturn. In such a situation, foreign enterprises are undervalued, and even many enterprises have lower market value than net value, so these corporations often hope inward investment to invest for promoting commercial value. Therefore, if Chinese enterprises use this chance and adopt the manner of merger and acquisition, they will get more super-quality capital and obtain corresponding advantage, humane resource and distribution network. Consequently, recently many corporations go on the mergers and acquisition abroad. However, these corporations usually experience defeats. One of the important factors is that these enterprises have wrong goal choices, that is, they do not make an accurate strategy positioning on merger and acquisition. In the strategy choice of M & A , the basis is strategy positioning and the key is choice of strategy objective. In other words, if there are not appropriate corporations as the goals, there will be not M&A.The paper carries out a systematic review about the choice theory of objective enterprises in the M&A, such as traditional and modern merger and acquisition theory of Objective Corporation, and the motive theory of merger and acquisition theory of Objective Corporation. Secondly, this paper makes a detailed analysis on the interior and exterior keys of objective choice which have an impact on the multinational M&A and objective existence of the multinational M&A. At last, on this basis, the paper gives suggestions on industry positioning, marketing positioning, .regional positioning and choice of goal corporations.
