After nearly 30 years'reform and development, private economy in China has become the important part in the national economy and also has turned into the bright star in our country. Nowadays, most private company has entered into the second undertaking stage; many of them meet two bottle necks"scale"and"life". Many reasons lead to the bottle necks, such as factors resulting from policies, industry depression and out of fund etc., but the general reason is that the inner organizational structure of the private company can not support its further development. By citing the definition of the"organizational Architecture"proposed by James and considering our practical situation, this article expounded the organizational structure from three aspects"decision-making rights system","motivation and reward system","supervision system". Firstly, the article introduced the related basic theory about organizational architecture; theoretically proposed the analysis frame with regard to how to create companies'organizational architecture. In order to make the companies'organizational architecture run effectively, we must harmonize the"decision-making rights system","motivation and reward system"and"supervision system"and this will provide the analysis frame for us to research the private company in second-undertaking period. Secondly, the article introduced the current situation of the private company in second-undertaking period and deeply analyzed the reasons from three aspects"China traditional culture","private companies'inside factors"and"professional manager factor". Finally, the article proposed the suggestions on how to optimize the private companies'organizational architecture: For the decision-making rights assignment system, private company should make the decision of choosing the"centralization of power"or the"separation of power"on the basis of industry characteristics, technical situation and government influence. Decision-making by team is the effective way to achieve the decision-making assignment system. The company should achieve the scientific decision-making, by optimizing the decision-making system. For the motivation and rewards system, the company should combine material incentive methods and the spiritual incentive methods; For the supervision system, companies should create scientific and rational performance evaluation system to make sure the employee get their rewards; strengthen the inside control by set up the companies'regulations, professional manager's contract and the responsibilities of the board of shareholders, board of directors and board of supervisors; perfect outside supervision system by set up legislation, morality and regulation system.
